Anyone know how I can have the GIMP and Tool-window always on top in the new GIMP 2.4???

Yes, it is in Window Management, I believe.
Without looking, it's a checkbox for "utility window" etc.

It was suggested in the thread about this at the gimptalk.com forums that the setting has no effect in XP. This would seem to be true, if this screenshot is anything to go by:
