4 months after I wrote the original post, I acquired / upgraded a few more EF lenses to my gear box:

16-35 2.8 II, 70-200 2.8 IS II, 100 2.8 IS macro and the 85 1.2 II. I still use the 28-135 as my standard zoom lens. I gave the thoughts of buying the 24-70 2.8 but rejected the idea due to no IS and too small of the zoom range. For the 24-105 4 IS, I think the strength of it vs. the 28-135 is better IS and better optical especially at the wide end. However, as I already have the 16-35 to cover the wide range, I still can't find much motivation to get the 24-105.

I found the gap too wide between the 16-35f2.8L II and the 70-200f4L IS even though I had a Sigma 50f1.4 so I eventually bought the 24-105. Good lens but it had the IS problem that was widely reported and my guy in Saigon offered me a trade in deal on the 24-70f2.8L II that was too good to refuse. The next day I traded the 70-200f4L IS in on the 2.8 II as well. The odd man out now is the 16-35, the 24-70f2.8L II + 70-200f2.8L IS II are in another class IQ wise. I recommend you try one before discounting it completely. You will be surprised.
