14-54 differences

one difference, the curved aperture blades, has a minor effect on bokeh, but unless you simply must have perfectly circular OOF highlights, it's not that big a deal.

Now CD-AF compatibility affects not only how the lens would work on a PEN or other micro body, but how fast it focuses in Live View, and whether you have access to the imager focus grid and face detect.

So if you don't use LV much (or aren't worried about focus speed when you do), aren't worried about your highlights being polygons rather than round, and never plan to use the lens on m43, then the MkI is a better deal for you...
