Why not upgrade and improve the 24-105 into the 24-105F/4IS II ?

because it can be made smaller, lighter, better optical quality and also includes HIS and macro.

if canon introduced a Mark II of the 24-105L .. people would have sticker shock once again and canon wouldn't have a cheap L lens to toss into kits. the mark II would most assuredly be around 1800 USD.

I think you're right.  The extra range is not the most important consideration for many people, especially for the high end users.
