Olympus claims the aperture blades are slightly more rounded, which in theory changes the bokeh (quality of the unfocused area) of the image.

As somebody else mentioned, the 14-54mm II has a new lens hood, which is incompatible with the previous hood. The Olympus ring flash (SRF-11) only works with the original 14-54mm, the original 50-200mm, and the 50mm (using the $100 adapter with the 50mm). For most people, this is not an issue.
