1. The rules have changed. OEM version is sold by itself, but is only intended for use by system builders that use the OEM Preinstallation Kit for installing.

2. Unlike an upgrade, the OEM version comes in separate 32-bit and 64-bit flavors, but this is unlikely to matter to most.

Technically, you can install the OEM version and it will work, but you are in violation of your license agreement.
