OK - responding to my own question.  I think that 'I've got it:)'

When a photo is stored on my camera SD card, the camera inserts some metadata (exposure info, etc.).  When that photo is imported into LR, LR reads the camera metadata and stores it in the catalog.  However, within LR, I can add metadata which is stored in the LR catalog.  This is not stored in the photo.  So, if I transfer the physical photo file to a new computer, the metadata will reflect what was written by my camera, not what I added in LR.  Since I add copyright information to every photo I import, the metadata which LR sees is always different from what is in the photo.  Hence, the warning I was seeing.

I can write out the changed metadata into the photo but that isn't needed.

The message isn't an error, just an indication of the way LR works.

MY bad - sorry for the false alarm.  LR could provide a clearer indication of what is going on.  But.....
