I have (way) more use for f/2.8 than VR and the build quality of the 28-70 made it a joy to use. The telephoto end is a bit limiting but it's a tradeoff I'm willing to make for gaining that extra stop. The 28-70 also focused faster especially in low light. I haven't tried to do an image quality test (never had both lenses at the same time) but I've never been disappointed shooting either lens wide open.
The only reason I went with the 24-120/4 VR over the 24-70/2.8 was cost.
