I have both. To be honest I can see virtually no difference in IQ. The obvious reasons to choose the 12-35 over the 14-45 are the constant 2.8 aperture and the wider 12mm.

If you don't need those two things get the 14-45.

There is a difference in sharpness, even in my superb copy of the 14-45. I proved that to myself this morning when I ran a test. I'll post the result as soon as I've got things organized.

Personally, I'm interested in the following from the 12-35, in the order of importance for me, and you didn't even list the first and fourth items:

1. Splash and dust proof, since I want a walk-around lens I can take out anytime during our 9 months of rain in the Pacific Northwest. It doesn't rain every day, but especially in November and December, almost every day. But it was fair weather when I took it out this morning.

2. Constant 2.8 aperture. This will be very convenient.

3. The wider 12mm. This is not really compelling for me, since I have the Panasonic 7-14mm. But it would be a convenience.

4. Build quality: purely an aesthetic consideration.
