The G5 has IMHO a nicer grip, LCD is better and the new menu structure is more logical to me.
It has more creative options and scene modes (if you care about that sort of thing) and the JPEG engine is better. It also feels snappier and AF is a bit faster.
While it has fewer external controls, the G5 has a little rocker switch behind the shutter release which zooms powerzoom lenses or functions as exposure correction lever, this is something I use all the time.
The GH2 has full manual control in video mode, microfone in, more external controls and the multi aspect sensor, which is a nice thing to have in 16:9 mode.
For a stills shooter the G5 seems better, but I would try both in real life. As similiar the cameras are on paper, they feel quite different.
