I'm confused to upgrade or not my D200 to D300.

The AF on the D300's better, and the battery grip for the D300 is a superior design. I find my D200 to be cleaner at ISO 100-400, and the D300 to be cleaner at higher ISOs, although I prefer the output from my D300.

I fi make 1 photo in the same place with the same lens and same settings, there will be any big differences or not?

With my D200 set to "low contrast", and my D300 set to "Neutral", the images from my D300 are more "open" - the D200's images seem a little "crunchier" (a bit more blocked up in the shadows). It's also easier to recover highlights from the D300 than the D200 (IME).
