Download ap3 trial while waiting on fedex??

Is there a problem if I download aperture 3 upgrade trial for my ap2. While I wait for my ap3 to arrive from apple since it's stuck in nj due to snow delays?? Can I just enter the serial number when it arrives?? It is an upgrade disc. Is this the same as the regular ap3?
