Wise to change from 40D & 17-55 to 5D & 24-105L?

The price for secondhand 5D and 24-105L is at attractive level. I need top up not much if I sell my 40D and 17-55.

Will the IQ be better when I change from 40D+1755 to 5D+24105? The impression I got is 5D is slightly better than 40D but 17-55 is better than 24-105L.
